5. Use of the Site

Woucloo, including its officers, directors, and employees, shall not be liable for damages arising from your use of the platform.
These Terms are governed by the laws of Quebec and Canada. Any legal action shall be brought exclusively in the courts of Quebec.

You agree to indemnify Woucloo against any claims, damages, or expenses resulting from your breach of these Terms.

Woucloo is provided "as is." We do not guarantee the accuracy, reliability, or availability of the site.

We are not responsible for external links to third-party sites.

13. Payment Terms & Fees

13.1 Payment Processing
Transactions are securely processed through Stripe or PayPal.
When a buyer makes a payment, it’s processed at checkout, and the seller’s payout goes directly into their Woucloo Wallet.
Sellers can then transfer the funds to their linked bank account, PayPal, or Stripe account. Transfers are subject to Stripe’s processing times.
For security reasons, Woucloo may hold payments (e.g., fraud prevention).

13.2. A Woucloo Wallet
Sellers receive payments directly into their Woucloo Wallet. Funds in the wallet can be transferred to the seller’s bank account, PayPal, or Stripe account. 
These transfers are subject to Woucloo’s verification process for security, ensuring safe transactions for both buyers and sellers.

13.2. B Platform Fees
Woucloo charges a 5% commission fee on each sale, which is deducted before payouts. This fee is charged by Woucloo for providing the platform, security, and services.
Sales tax (GST/QST in Canada) will be applied to platform fees, where required. The applicable taxes include both federal (GST) and provincial (QST) taxes, where relevant.
Fees are non-refundable, even in cases of buyer disputes.
The commission fee is displayed at checkout for transparency.

13.3 Buying and Selling on Woucloo
On the Woucloo platform, users can both buy and sell clothes. All transactions between buyers and sellers are facilitated through the platform, 
ensuring a secure and streamlined process.
Buyers must review item details before purchasing, and Woucloo is not responsible for the quality, condition, or delivery of items.

13.4 Buyer Responsibilities & Refunds
Buyers should carefully review the details of an item before making a purchase. Woucloo is not responsible for the quality, condition, or delivery of items.
Sellers set their own refund and exchange policies, which must comply with applicable consumer protection laws.
Disputes can be resolved through Stripe or the relevant financial institution.

13.5 Seller Responsibilities & Payouts

  • Sellers are expected to comply with Woucloo’s policies and applicable laws.
  • Listings must accurately describe the items for sale. Misleading or inaccurate listings may result in account suspension.
  • Sellers must ensure their payout details are correct and up-to-date.
  • Sellers are responsible for collecting and reporting any sales taxes that apply to their sales.

Image Use Policy: Sellers must only use images that they have the rights to. Any listings that use unauthorized images will be removed, and repeat offenders may face account suspension.

13.5.1 Taxes
Woucloo collects and remits sales tax (GST/QST) on platform fees, where required by Quebec and Canadian law.
Sellers are responsible for determining and collecting taxes on their own sales, including the federal GST and any applicable provincial taxes.

13.6 Withdrawal Timing
Withdrawals to bank accounts generally take [X] business days. PayPal/Stripe transfers are processed within [Y] business days, subject to their terms.

13.7 Disputes & Chargebacks
In the event of a dispute (e.g., chargeback), Woucloo may hold the funds in question.
Sellers must provide proof of shipment if a dispute arises.
Woucloo may suspend accounts with a high number of disputes or evidence of fraudulent activity.

13.8 Fraud Prevention & Security
Woucloo actively monitors transactions to prevent fraud.
Accounts engaged in fraudulent activity may be suspended.
Users are responsible for ensuring that their payment details are accurate. Woucloo is not liable for incorrect payouts due to user error.

13.8.1 Wallet Security
To ensure secure transactions, Woucloo may require additional verification when setting up a wallet or withdrawing funds. 
Users must complete the verification process to enable withdrawals to their bank account, PayPal, or Stripe.

13.8 Changes to Payment Terms
Woucloo may update these payment terms. Continued use implies acceptance.
